Freecycle Terms of Use (“Agreement”)

Welcome to Freecycle! Please read these Terms of Use completely which is owned and operated by Green Tribe Inc. This Agreement documents the legally binding terms and conditions attached to the use of the Freecycle Application (“Services”).

By using or accessing the Services in any way, viewing or browsing the content, or adding your own content to the Services, you are agreeing to be bound by these Terms of Use. Please see also our Privacy Policy.


Limitation of Liability

You agree not to hold us responsible for things other users post or do. As most of the stuff on the Services comes from other users, we do not guarantee the accuracy, completeness, efficacy or timeliness of any postings or user communications or the quality, safety, or legality of what is offered. We also cannot guarantee continuous or secure access to our Services. Notification functionality in our Services may not occur in real time. Such functionality is subject to delays beyond our control, including without limitation, delays or latency due to your physical location or your wireless data service provider’s network. Accordingly, to the extent legally permitted we expressly disclaim all warranties, representations and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any loss, whether of goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of Freecycle, even if you advise us or we could reasonably foresee the possibility of any such damage occurring.


General Disclaimers

Green Tribe Inc. make no promise that materials on the Services are appropriate or available for use in locations outside of Canada, and accessing the Services from territories where its contents are illegal or unlawful s prohibited. If you choose to access this site from locations outside Canada, you do so on your own initiative and are responsible for compliance with local laws.


User-Generated Content

Freecycle users may post, upload, or otherwise contribute content to the Services (which may include, for example, pictures, text, description, information, comments, and/or other types of content) (“User Content”). For the avoidance of doubt, “User Content” includes any such content posted to the Freecycle Application as well as any other part of the Freecycle Services.

You promise that, with respect to any User Content you post on Freecycle, you own or have the right to post such User Content, and such User Content, or its use by Freecycle as contemplated by the Agreements, does not violate the Agreements or any other rights set forth within the applicable law, or the intellectual property.


Indemnification

You understand that Freecycle does not control, and is not responsible for, User Content, and that by using the Services, you may be exposed to User Content from other users that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You are responsible for the User Content you share.

This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights. You agree that you will indemnify, defend, and hold harmless Green Tribe Inc. for all claims resulting from User Content you post. You also agree that Green Tribe Inc. cannot be taken responsible for any type of incidents occurred during a meeting with another user in order to get or give a donation, or for other reasons. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event you will cooperate with us in asserting any available defenses.


Intellectual Property

The Services and its original content, features, and functionality are owned by Green Tribe Inc., and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.


Termination

We may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of information associated with your account. All provisions of this Agreement that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


Changes To This Agreement

The company reserves the right to change these conditions from time to time as it sees fit and your continued use of the Services will signify your acceptance of any adjustment to these terms. If there are any changes to our privacy policy, we will announce that these changes have been made on our home page and on other key pages on our site. If there are any changes in how we use our Services customers’ Personally Identifiable Information, notification by email will be made to those affected by the change, however we are not obliged to, and such changes to our privacy policy will be posted on our site 30 days prior to these changes taking place. You are therefore advised to re-read this statement on a regular basis.


Choice of Law And Jurisdiction

The terms of Use shall be governed by the laws of the province of Ontario, Canada without regard to the conflicts of laws rules of any jurisdiction. Every dispute concerning the interpretation or effect of these Terms of Use and/or your use of the Services must be resolved in the federal courts situated in the province of Ontario. You agree to the personal jurisdiction, subject matter jurisdiction, and venue of these courts.
